ENTUK Membership Terms and Conditions

These Membership Terms and Conditions, together with the Articles of Association and By-laws will govern your membership with us.

If you participate in Membership Groups and Special Interest Groups (“Sub-Groups”) activities, you shall also be subject to the Constitution of the Sub-Groups where applicable.

Interpretation

The following definitions apply in these Terms and Conditions:

'Articles & By-laws': the Association’s Articles and the By-laws of ENTUK;

'Board': the Trustee Board of the Association as from time to time constituted in accordance with the Articles & By-laws;

‘Bylaws’: the bylaws of ENTUK at https://www.entuk.org/_userfiles/pages/files/by_laws.pdf

'ENTUK' or 'Association': ENTUK, a charity registered in England and Wales (Charity number 1125524) and incorporated company registered in England and Wales (Company registration number 06452601 ) as a Company Limited by Guarantee and having its principal place of business at 38-43 Lincoln’s Inn Fields, London WC2A 3PE;

'Force Majeure': any event or occurrence which is outside the control of the party affected and which is not attributable to any act or failure to take preventive action by the party affected;

‘UK GDPR’: the retained EU law version of the General Data Protection Regulation ((EU) 2016/679) as it forms part of the law of England and Wales, Scotland and Northern Ireland by virtue of section 3 of the European Union (Withdrawal) Act 2018 and as amended by Schedule 1 to the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2019 (SI 2019/419).

‘GMC’: General Medical Council at 3BH, 350 Euston Rd., London NW1 3AW (https://www.gmc-uk.org/)

'General Meeting': a meeting of the members of the Association as prescribed in the Articles and By-laws;

'Intellectual Property': copyright, database rights, rights in confidence, rights in passing-off, rights to domain names, registered and unregistered designs, trademarks, patents or other industrial or intellectual property together with any current or future applications for any registrable items of the foregoing anywhere in the world;

‘Materials': all materials including the written content, newsletters, conference materials, advertising, brochures, publicity material, invitations, website, branding, logos and other ENTUK materials used by or for or relating to the Member Services;

'Member': a fully paid-up individual member of  ENTUK and “members” shall be construed accordingly;

'Membership Grade': the grade of membership held by a member which is dependent on satisfying the membership criteria for the specified grade; these can be found in the Bylaws and on the ENTUK website;

'Member Services': the services provided by the Association for the benefit of members subject to these Terms and Conditions;

'Membership Term': the period of valid membership commencing on 1 October each year to 30 September of the following year;

'Sub-Groups': the Membership Groups and Special Interest Groups that exist under the umbrella of ENTUK and whose primary purpose is to promote the sub-specialty and interest of the group at a local and national level and help the Association achieve its strategic priorities;

'Subsidiary': shall in relation to ENTUK, have the meaning ascribed to it in the Companies Act 2006 as may be amended from time to time.

1. Membership

1.1
There shall be four categories of ENTUK membership namely: Full, Honorary, Lay and Affiliate. Provisions related to the membership categories offered by ENTUK can be found in Article 1 of the ENTUK By-laws.

1.2
Members must satisfy the Association’s prescribed membership criteria, as contained in the By-laws to qualify for the membership grade.

1.3
Additionally, all Consultant and Young Consultant members should confirm they are on the GMC’s Specialist Register. If they are not listed in the Specialist Register, they will need to state a valid reason to the Association on why they are not on the Register and the application will be manually approved by the membership team. 

1.4
All members must be in good standing with the General Medical Council (GMC) and comply with its regulatory structures. If your standing with the GMC is called into question you have an obligation to inform ENTUK.

1.5
Members must promptly inform ENTUK if there has been changes to their professional grade so their membership can be updated as required.

2. Constitutional Rights of Membership

2.1
All voting-members shall receive notice of General Meetings and may exercise the right to vote at a General Meeting. In accordance with the Association’s Articles of Association, the Board may, at its discretion, permit non-voting members to attend General Meetings and, with permission of the Chair of the meeting, to speak, but not vote.

2.2
Where applicable, members from certain grades (as prescribed in Article 1 of the By-laws) may put themselves forward to stand as an officer for ENTUK. 

2.3
Membership of the Sub-Groups shall be open to members of the Association who elect to join those Groups. Members who opt to join the Group’s activities must also adhere to the Constitution or guiding principles (where applicable) of that Group.

2.4
ENTUK membership does not entitle the use of Designatory Letters and members should refrain from using ENTUK’s name and logo as a professional qualification/Designation Letter in their web and social media profiles.

3. Member Services

ENTUK is committed to providing quality Member Services and shall:

a. establish, make available and support programmes of education, training and continuing professional development with recognised standards of achievement to support the development of members;

b. establish, develop and maintain links with other bodies and organisations at a local, national and international level; including the provision of face-to-face and online networking; and

c. maintain a database to enable members to book ENTUK events at a discount, access Member Services and manage their membership account.

4. Membership Term

The membership period runs from 1 October to 30 September.

5. Membership Fees

5.1
Current membership fees will be displayed on the ENTUK website and automatically calculated at the point of submitting the membership application.   

5.2
Any member joining after 31 October will pay a pro-rated annual subscription fee except the Student and Foundation doctors in Otolaryngology (SFO) grade who will pay the full fee. Any SFO member who joins the Association on or after 1 July will get free membership to 30 September and their payment will be carried forward to pay for their subscription for the next membership year.

5.3
Membership of the Association in each category of membership and access to Member Services is conditional upon the payment of your subscription fee, or your confirmation to pay the appropriate subscription fee at a set time frame agreed (if paying by Direct Debit).

5.4
ENTUK encourages members to settle their membership dues by Direct Debit where possible as payments are guaranteed under the Direct Debit scheme which guarantees return of your funds if you are incorrectly charged.

5.5
Direct Debit payers will have the exclusive right to pay for their membership dues in instalments (up to 10 instalments) at no extra charge.

5.6
Members who opt to pay for their membership subscription via non-Direct Debit method of payment will pay an additional £10 administration fee. This cost will be automatically added to your annual subscription and is levied to recover costs related to card processing fees and payment administration costs.

5.7
Subject to clause 7, Members are not entitled to a refund of any subscription fees following termination or cancellation of membership.

6. Membership Renewal

6.1
The membership fees are reviewed annually by the Trustees of ENTUK, and the proposed subscription fees are tabled for approval at the Annual General Meeting (AGM) before the start of the new membership year. 

6.2
All ENTUK members will receive a pre-renewal email in early September detailing your subscription will be renewed on 1 October (the 'Renewal Date') and will include the subscription fee for your membership grade for the new membership year.

6.3
Members should let the Membership Team know by 29 September in writing if they wish to cancel their subscription or change to a new grade.  If we do not hear from you by 29 September in writing, your ENTUK subscription will be auto renewed on 1 October.

7. Right to Cancel Membership

All Members shall have a right to cancel their membership within 14 calendar days of joining ENTUK or renewal of their membership.

7.1
In such event, members will receive a full refund of any fees paid up to the day of the cancellation notice in writing being received by ENTUK, provided you have not used any Member Services, namely purchased discounted event tickets or accessed the online member-only resources during the 14-day cooling off period.

7.2
If the member is found to have used any of the Member Services not limiting to those mentioned on 7.1, full payment will be required, and no refunds will be issued.

8. Membership Termination

8.1
A Member may terminate their membership by providing 30 clear days’ notice in writing to the Association as prescribed in Article 3.5 of the Association’s Articles and is subject to clause 8.2 and 8.3 below.

8.2
ENTUK membership is non-transferable and existing members shall cease to be a member:

a. on the expiry of 30 clear days’ written notice to the Association of their resignation as a member; or

b. if not paying by Direct Debit, any subscription payable by the member to the Association is not cleared within 30 days of the renewal invoice being generated by the system, and still remains outstanding after 90 days from the date of the invoice, despite two reminder emails being sent out; or

c. if paying by Direct Debit but the last three Direct Debit collection attempts have failed; or

d. If the member is removed from the GMC register for misconduct; or

e. on the death of the member.

8.3
The member will be sent a notice by email to confirm the termination of their membership by the Association for non-payment and their membership will not be reinstated unless either payment is received in full or the member sets up a valid Direct Debit Instruction to pay off the debt.

8.4
If the Board resolves that the member be expelled/suspended as per Article 2 of the By-laws, such member shall have the right to appeal and possibly reinstated.

8.5
Any member who ceases to be a member in accordance with clause 8.2 (a), (b), (c), and (d) shall remain liable for the full subscription fee up to the end of the membership year from when they cease to be a member of ENTUK.

8.6 Membership may be terminated by ENTUK if the Member breaches these terms and conditions of membership including but without limitation the ENTUK Diversity, Equality and Inclusion Policy, and Social Media Policy.

9. Temporary Pause

9.1
Members can ask their membership to be paused temporarily without membership fees being due under the following circumstances:

  1. Maternity/Paternity leave; or
  2. Long term sickness leave; or
  3. Exceptional circumstances that render them unable to work for an extended period.

9.2
Temporary pause for Maternity/Paternity leave can be requested for the maximum of one year by writing to the Membership Team. Request related to long term sickness or pause due to other exceptional circumstances will be dealt on case-by-case basis once the request has been received and reviewed by the Honorary Treasurer of the Association. The Honorary Treasurer’s decision will be final in these cases and no appeals will be allowed.

9.3
While your membership is on temporary pause, you will still be an active member of the Association with access to all Member Services.

9.4
Once a temporary pause has been approved, if your personal circumstances change and you return to work early, you shall inform the Association at the earliest opportunity so your original membership grade can be reinstated.

10. Membership Rejection

10.1
A membership application received may be rejected if the applicant is suspected to have deliberately given false information to gain the membership of the Association.

10.2
The Board may also decide to reject a member if they are found to bring the ENT profession into disrepute.

10.3
Each case will be dealt with on a case-by-case basis before any determination to reject the application is made. The applicant will not be able to appeal the decision.

11. Intellectual Property Rights

11.1
All Intellectual Property which exists in the Materials provided to members as part of the Member Services are owned by ENTUK and/or its content providers.

11.2
Membership does not confer any right to use ENTUK Intellectual Property, including the ENTUK brand and logo, except where expressly provided in writing.

11.3
The member shall not:

a. licence, sell, rent, lease, transfer, assign or otherwise commercially exploit Materials or ENTUK Intellectual Property, including passwords, provided to the member by the Association – all of which the Member agrees are at all times the property of the Association; or

b. licence, sell, rent, lease, transfer, assign or otherwise commercially exploit or otherwise make the Member Services available to any third party.

12. Equality, Diversity and Inclusion Policy

We are committed to promoting equal opportunities for membership applications and creating a company culture in which diversity and inclusion is valued and everyone is treated with dignity and respect. As part of our zero-tolerance approach to discrimination in any form, you and any membership applicants will receive equal treatment regardless of age, disability, gender reassignment, marital or civil partner status, pregnancy or maternity, race, colour, nationality, ethnic or national origin, religion or belief, sex or sexual orientation. We are also committed to providing equitable treatment to all those we deal with as an organisation, including customers and suppliers. 13 Social Media Policy

To minimise risks, to avoid loss of productivity and reputation, and to ensure that our IT resources and communications systems are used only for appropriate ENTUK purposes and we expect all members to abide by our Social Media Policy, which can be provided upon request.

14. Force Majeure

In the event of Force Majeure, ENTUK shall not be deemed to be in breach of these Terms and Conditions and in particular shall not be liable for a delay or for non-performance of any of its obligations under these Terms and Conditions or for any loss or damage occasioned thereby. To the maximum extent permitted by law, all losses arising for this reason shall not be recoverable by the member.

15. Variation

At its absolute discretion, ENTUK may at any time alter, amend, change, modify, temporarily suspend or withdraw any of the Member Services that comprise the membership offering. It will be your responsibility to keep up-to date with all such changes and your membership renewal and continued use of the Member Services shall be deemed acceptance of any changes to these Terms and Conditions.

16. Notice

Any notice to be given under these Terms and Conditions shall be in writing, which shall include electronic communication to the email address you provide.

17. Data Protection

17.1
Any information the Association holds on you will be stored securely (in electronic format where applicable). Since the Association is responsible for data security of your information in its possession, the Association will be the Data Controller as outlined in the UK GDPR regulation. At times, depending on the nature of the information being processed, the Subsidiary of the Association will be the Joint Controller together with the Association.  

17.2
In its role as the sole or joint Data Controller, the Association and its Subsidiary will aim to fulfil its obligation as outlined in the UK GDPR regulation. While providing Member Services, the Association and its Subsidiary will share your data with third-party contractors solely for them to help process your data within limited scope.

17.3
To comply with UK GDPR regulations, ENTUK and its Subsidiary will not supply your personal details to any external organisation(s) for marketing purposes without your prior consent. By accepting these Terms and Conditions, you also agree to the use of your information as set out in our Privacy Policy.

18. Governing Law

These Terms and Conditions shall be interpreted in accordance with English law and all disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
